User Agreement

THE FOLLOWING DESCRIBES THE TERMS ON WHICH FARMS.COM LTD. OFFERS YOU ACCESS TO THE Farms.com Real Estate SERVICES.

FARMS.COM Ltd. TERMS OF ACCESS
The following are terms of a legal agreement ("Agreement") between you and Farms.com, LTD. ("Farms"). Please read these terms and conditions of use carefully. By accessing, browsing and/or otherwise using this web site ("Site"), you acknowledge that you have read, understood and agreed to be bound by these terms and conditions, and to comply with all applicable laws and regulations, including U.S. export and re-export control laws and regulations. If you do not agree to all of these terms and conditions, you may not access, browse and/or use this Site. The material provided on this Site is protected by law, including, but not limited to, United States and Canada copyright law and international treaties.

This site is controlled and operated by Farms from its offices within the United States and Canada. Farms makes no representation that materials contained in this Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws. This Site and any services or products offered on the Site are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, the Site and any services or products offered on the Site are not available to and may not be used by minors.

These terms of access apply exclusively to your access to and use of this Site and do not alter in any way the terms and conditions of any other agreement you may have with Farms for products, services or otherwise. Further, if you breach any of these terms and conditions, your authorization to use this Site automatically terminates and you must immediately destroy any downloaded or printed materials and discontinue use of any hyperlinks to this Site.

USE RESTRICTIONS
1. Copyright. All Site materials, including, without limitation, text, graphics and other files and the selection and arrangement thereof are copyrighted materials of Farms.com, LTD. © 2000, ALL RIGHTS RESERVED, or by the original creator of the material. Permission is granted to display, copy, distribute, and download the materials on this Site for personal, noncommercial use only, provided you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials. You may not, however, distribute, copy, reproduce, display, republish, download, or transmit any material on this Site for commercial use without prior written approval of Farms. You may not "mirror" any material contained on this Site on any other server without prior written permission from Farms. Any unauthorized use of any material contained on this Site may violate copyright laws, trademark laws, the laws of privacy and publicity and communications regulations and statutes.

2. Trademarks. The trademarks, service marks, trade names, and logos (the "Trademarks") used and displayed on this Site are registered and unregistered Trademarks of Farms. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks and/or trade dress of Farms, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Farms. You acknowledge that the Trademarks used and displayed on this Site are and shall remain the sole property of Farms or the Trademark owner. Nothing in this Agreement shall confer any right of ownership of any of the Trademarks in you. Further, nothing in this Site shall be construed as granting, by implication, estoppel or otherwise any license or right to use any Trademark used or displayed on the Site, without the express written permission of Farms or the Trademark owner. The misuse of the trademarks displayed on this Site, or any other content on the Site, is strictly prohibited.

3. Hyperlinks. You are granted a limited, nonexclusive right to create a "hypertext" link to this Site provided that such link is to the entry page of this Site and does not portray Farms or any of its products or services in a false, misleading, derogatory, or otherwise defamatory manner. This limited right may be revoked at any time for any reason whatsoever. You may not use framing techniques to enclose any Farms trademark, logo or trade name or other proprietary information including the images found at the Site, the content of any text or the layout/design of any page or any form contained on a page without Farms' express written consent. Links to third party sites on this Site are provided solely as convenience to you. If you use these links, you will leave this Site. Farms has not reviewed all of these third party sites and does not control and is not responsible for any of these sites, their content or their policies, including, without limitation, privacy policies or lack thereof. Farms does not endorse or make any representations about third party sites or any information, software or other products or materials found there, or any results that may be obtained from using them. If you decide to access any of the third party sites linked to this site, you do so entirely at your own risk. You acknowledge and agree that Farms shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with the use of or reliance on any such third party sites.

4. Downloadable Materials. Any software, including codes or other materials that are made available to download from this Site, is the copyrighted work of Farms and/or its suppliers and affiliates. If you download software from this Site, use of the software is subject to the license terms in the software license agreement that accompanies or is provided with the software. You may not download or install the software until you have read and accepted the terms of the applicable software license agreement. Without limiting the foregoing, copying or reproduction of the software to any other server or location for further reproduction or redistribution is expressly prohibited unless otherwise provided for in the applicable software license agreement in the case of software, or the express written consent of Farms in the case of codes or other downloadable materials.

5. Limited Access. Access to this Site is limited to the linked Web pages solely for those using the information on the Site for their own personal use. Except as otherwise expressly permitted by Farms, any access or attempt to access other areas of the Farms computer system or other information contained on the system for any purposes is strictly prohibited. You agree that you will not use any robot, spider, other automatic device, or manual process to monitor, "mine," or copy the Web pages on the Site or the content contained therein without Farms' prior, express, and written permission. You will not spam or send unsolicited e-mail to any other user of the Site for any reason. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on Farms' infrastructure.

DISCLAIMER WARRANTY
This Site, including all software, functions, materials, and information, is provided "as is" without warranties of any kind, either express or implied. Farms disclaims all warranties, express or implied, including, but not limited to, warranties of quiet enjoyment and non-infringement and any implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, merchantability of computer programs and informational content. Farms does not warrant or make any representations regarding the operation of this Site, the use, validity, accuracy or reliability of, or the results of the use of the materials on this Site or any other sites linked to this Site. This Agreement describes the terms and conditions applicable to your use of our services at Farms.com Real Estate. If you have any questions that are not answered here, please contact RealEstate@Farms.com.

This Agreement is effective immediately. We may amend this Agreement at any time by posting the amended terms on our site. Except as stated below, all amended terms shall automatically be effective 30 days after they are initially posted on our site. This Agreement may not be otherwise amended except in a writing signed by you and Farms.com Real Estate. This Agreement has not been amended since it was first posted.

1. Membership Eligibility. Our services are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors. If you do not qualify, please do not use our services. Further, our services are not available to temporarily or indefinitely suspended Farms.com Real Estate members.

2. Fees and Services:

2.1 Joining. Joining Farms.com Real Estate is priced at varying rates depending on the options you choose. Our latest pricing can be found by contacting as atRealEstate@Farms.com.

2.2 Listing. Listing properties on Farms.com Real Estate is priced at varying rates depending on the options you choose. Our latest pricing can be found by contacting as at RealEstate@Farms.com.

3. Farms.com Real Estate. is Only a Venue.

3.1 Overview. Our site acts as a broadcast service for real estate sales representatives and the property they list. We are not involved in the actual transaction between buyers and sellers. As a result, we have no control over the quality, safety or legality of the items advertised, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to buy items. We cannot ensure that a buyer or seller will actually complete a transaction.

3.2 Safe Trading. Because user authentication on the Internet is difficult, Farms.com Real Estate. cannot and does not confirm each user's purported identity. We also encourage you to communicate directly with potential trading partners.

3.3 Release. Because we are not involved in the actual transaction between buyers and sellers, in the event that you have a dispute with one or more users, you release Farms.com Real Estate. (and our officers, directors, agents, subsidiaries and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

3.4 Information Control. We do not control the information provided by other users, which is made available through our system. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and practice safe trading when using our site. Please note that there are also risks of dealing with foreign nationals, underage persons or people acting under false pretense.

4. Listing and Selling.

4.1 Listing Description. Listings may only include text descriptions, graphics and pictures supplied to our site (or that are linked to or from our site) that describe the item for sale.

4.2 Fraud. Without limiting any other remedies, Farms.com Real Estate may suspend or terminate your account if you are found (by conviction, settlement, insurance or escrow investigation, or otherwise) to have engaged in fraudulent activity in connection with our site.

4.3 Manipulation. Neither bidders nor sellers may manipulate the price of any item nor may you interfere with other user's listings.

5. Your Information."Your Information" is defined as any information you provide to us or other users in the registration, bidding or listing process, in any public message area (including the Discussion area) or through any email feature. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of Your Information. With respect to Your Information:

5.1 Your Information (or any items listed therein): (a) shall not be false, inaccurate or misleading; (b) shall not be fraudulent or involve the sale of counterfeit or stolen items; (c) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (e) shall not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) shall not be obscene or contain child pornography or be harmful to minors, and if so shall be distributed only to people legally permitted to receive such content; (g) shall not contain any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) shall not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and (i) shall not link directly or indirectly to or include descriptions of goods or services that: (aa) are prohibited under this Agreement; (bb) you do not have a right to link to or include. Furthermore, you may not list any item on our site (or consummate any transaction that was initiated using our service) that, by paying to us the listing fee or the final value fee, could cause us to violate any applicable law, statute, ordinance or regulation.

5.2 Solely to enable Farms.com Real Estate. to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright and publicity rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information.

7. Access and Interference. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Farms.com Real Estate site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. Much of the information on our site is updated on a real time basis and is proprietary or is licensed to Farms.com Real Estate by our users or third parties. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for Your Information) from our website without the prior expressed written permission of Farms.com Real Estate. or the appropriate third party.

8. Breach.Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you: (a) if you breach this Agreement or the documents it incorporates by reference; (b) if we are unable to verify or authenticate any information you provide to us; or (c) if we believe that your actions may cause legal liability for you, our users or us.

9. No Warranty.WE AND OUR SUPPLIERS PROVIDE OUR WEB SITE AND SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. WE AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights which vary from state to state.

10. Liability Limit.IN NO EVENT SHALL WE OR OUR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE). OUR LIABILITY, AND THE LIABILITY OF OUR SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, AND (B) $100. Some states do not allow the limitation of liability, so the foregoing limitation may not apply to you.

11. Indemnity.You agree to indemnify and hold us and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

12. Legal Compliance.You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your bidding on, listing, purchase, solicitation of offers to purchase, and sale of items.

13. No Agency.You and Farms.com Real Estate. are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

14. Notices.Except as explicitly stated otherwise, any notices shall be given by postal mail to (insert name & address here) or to the email address you provide to Farms.com Real Estate. during the registration process. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to Farms.com Real Estate. during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.

15. Arbitration.Any controversy or claim arising out of or relating to this Agreement or our services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the Canadian Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in London, Ontario, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or Land Market Inc. may seek any interim or preliminary relief from a court of competent jurisdiction in Ontario necessary to protect the rights or property of you or Farms.com Real Estate. pending the completion of arbitration.

16. General.This Agreement shall be governed in all respects by the laws of the Province of Ontario as such laws are applied to agreements entered into and to be performed entirely within Ontario between Ontario residents. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.

17. Your Responsibility to Uphold the User Agreement.You agree to this Agreement and also agree not to provide any other person a link to Farms.com Real Estate or its sub-pages such that that person avoids seeing or agreeing to this Agreement.

18. Disclosures.The services hereunder are offered by (enter location) Parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors. If you are interested in learning more about these protections, information is available at http://www.worldvillage.com/wv/school/html/control.htm or other analogous sites providing information on such protections.


The submission of information to, and use of, the real estate listing service ("Service") available through the Farms.com Real Estate web site is subject to the following terms and conditions. BY SUBMITTING INFORMATION to, or accessing information from, the Service, YOU, the end user member customer ("Member customer") AGREE TO THE FOLLOWING TERMS AND CONDITIONS. These Terms and Conditions are a legal agreement between you and
Farms.com Real Estate.(LMI). If you do not agree to these Terms and Conditions, do not submit information to, or access information from, the Service. All questions concerning this Agreement should be directed to: Farms.com Real Estate, 425 Dundas Street, London, Ontario N6B 1V9.

Submission and Administration of Listings
Member customer shall not submit any property descriptions, photographs, financial, contact or other information ("Listings") to Farms.com Real Estate web site unless (i) Member customer has received all necessary rights and authorizations, including without limitation from the owner of the property listed, any necessary agents or brokers, the author of the Listing, including the photographer and/or copyright owner of any photographs, as applicable, to publish and advertise the Listing as part of the Service and allow the Listing to be accessed, downloaded and copied by users of the Service; and (ii) the Listing is accurate and Member customer agrees to administer the Listing and maintain its accuracy at all times. Member customer represents, warrants and covenants that the foregoing is correct at the time of submission and will remain correct as long as the Listing is used in connection with the Service. LMI will, in its sole discretion, remove listings that are alleged to have been submitted in violation of this provision. In addition, LMI may require additional evidence of compliance with this provision from member customers who are alleged to have submitted listings in violation of the terms of this provision on multiple occasions. LMI will, in its sole discretion, terminate the accounts of, and refuse service to, member customers who are repeat infringers.

Nature of Client's Business
If Client or an Affiliate of Client owns properties and intends to market them directly via the Service, Farms.com Real Estate, such Client represents to Farms.com Real Estate. that it either (a) markets properties for third parties where such third party brokerage services account for more than twenty percent (20%) of the total revenues of the entity, or (b) an associate member using LMI as a marketing service.

Payment Terms
Client agrees to pay for all products ordered through the Farms.com Real Estate. web site using the payment method indicated. Fees owed depend on the specific type and quantity of Farms.com Real Estate. Deliverables ordered. Payment of fees shall not be contingent on any events other than the delivery of the ordered Deliverables. Any attorneys fees, court costs, or other costs incurred in collection of delinquent undisputed amounts shall be paid by Client. Fees paid for subscriptions are non-refundable, regardless of whether the subscription is terminated prior to the end of the term. Subscriptions will automatically renew unless Client contacts Farms.com Real Estate. in writing 30 days prior to the renewal date and indicates its intent to cancel its subscription.

Ownership and License Grant
Farms.com Real Estate. retains all rights (including intellectual property rights), title and interest in the Farms.com Real Estate. Web site, technology, directories and brochures, database, and all underlying technology and data including any enhancements and improvements thereto as a result of providing the Deliverables hereunder. You will not and will not allow others to: reverse engineer, decompile, disassemble, merge, copy, use, disclose, sell or transfer the underlying source code or structure or sequence of Farms.com Real Estate.'s technology or delete or alter author attributes or copyright notices.

Indemnity
MEMBER CUSTOMER WILL INDEMNIFY AND HOLD HARMLESS LMI, AT MEMBER CUSTOMER'S SOLE EXPENSE, AGAINST ANY CLAIM, ACTION, LEGAL PROCEEDING, DAMAGES, LIABILITY, SETTLEMENTS, EXPENSES (INCLUDING ATTORNEYS' FEES) AND OTHER COSTS ARISING OUT OF OR RELATING TO (i) BREACH OF THESE TERMS AND CONDITIONS, (ii) NEGLIGENCE OR MISCONDUCT BY MEMBER MEMBER CUSTOMER OR CONSUMER (iii) A CLAIM THAT A LISTING OR OTHER INFORMATION PROVIDED BY MEMBER CUSTOMER INFRINGES THE COPYRIGHT, TRADEMARK, TRADE SECRET, PATENT OR OTHER PROPRIETARY RIGHT OF A THIRD PARTY.

Use of Information
Member customer agrees to treat all information and Listings obtained from the Service as proprietary to LMI. Member customer agrees that information and Listings reserved for members will be maintained as confidential and shall be protected as a trade secret of LMI. LMI does not ensure the accuracy of, endorse or recommend any Listings and Member customer uses such Listings at its own risk. Member customer may access the Listings solely to obtain initial information from which further evaluation and investigation may commence. Member customer shall limit access and use of Listings to personal and internal use, and shall not use Listings obtained from the Service for further distribution, publication, public display, or preparation of derivative works. Member customer shall not use or reproduce Listings obtained from the Service for or in connection with any other listing service or device.

Warranty Disclaimers
THE LISTINGS AND SERVICE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LMI MAKES NO PROMISES, REPRESENTATION OR WARRANTIES, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE LISTINGS OR SERVICE, INCLUDING THEIR ACCURACY, OPERATION, CONFORMITY TO ANY REPRESENTATION OR DESCRIPTION, OR THE EXISTENCE OF ANY LATENT OR PATENT DEFECTS, AND LMI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE AND, UNDER THE LAW OF THE UNITED KINGDOM, THE IMPLIED CONDITIONS OF SATISFACTORY QUALITY AND ACCEPTANCE AS WELL AS ANY LOCAL JURISDICTIONAL ANALOGUES TO THE ABOVE AND OTHER IMPLIED OR STATUTORY WARRANTIES.

Other Rights of LMI
Member customer agrees that LMI shall have the right to use Listings and other information submitted to it for any purpose, including without limitation for publication of all or part of such Listing on the world wide web for unrestricted use by member customers. LMI shall have sole authority to choose the manner in which any Listing will be received, displayed and used by the Service, and reserves the right to remove all or any part of a Listing or refuse Services to anyone at any time in its sole discretion. LMI shall have no obligation to (i) resolve disputes among users of the Service; or (ii) monitor or verify the accuracy or proper use of the Listings.

Limitation of Liability
LMI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF THE SERVICE SHALL BE LIMITED TO THE GREATER OF (i) TWENTY FIVE DOLLARS ($25), OR (ii) AMOUNTS, IF ANY, ACTUALLY RECEIVED BY LMI FROM MEMBER CUSTOMER FOR THE SERVICES IN THE PRECEDING TWELVE MONTH PERIOD. IN NO EVENT SHALL LMI HAVE ANY LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR RELATED TO THE SERVICE OR LISTINGS, INCLUDING BUT NOT LIMITED TO LOSS OF ANTICIPATED PROFITS, EVEN IF LMI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS SHALL APPLY NOT-WITH-STANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed under the laws of the Province of Ontario without reference to conflict of laws principles. These Terms and Conditions are deemed entered into in Middlesex County, Ontario, CA. All disputes arising out of or related to these Terms and Conditions or the Service shall be subject to the exclusive jurisdiction of the province and federal courts located in Middlesex County, Ontario, and the parties agree and submit to the personal and exclusive jurisdiction and venue of these courts.

General
This is the entire agreement between the parties relating to the subject matter hereof and no waiver or modification of these Terms and Conditions shall be valid unless in writing signed by each party. The waiver of a breach of any term hereof shall in no way be construed as a waiver of any other term or breach hereof. If any provision of this Agreement shall be held by a court of competent jurisdiction to be contrary to law, the remaining provisions of this Agreement shall remain in full force and effect. The rights under this Agreement or any license granted hereunder may not be assigned, sublicensed or otherwise transferred by Client without the prior written consent of Farms.com Real Estate., which consent shall not be unreasonably withheld.
